Section I

1. Platform identity and definitions

Platform Owner: OhMyRoom is operated by Oh My Room s.r.l., registered office at Viale Galileo 32, 50125 – Florence, VAT no. 07480960488 (hereinafter, the “Owner”). The “Website” or the “Platform” refers to the website www.ohmyroom.shop and its related subdomains, web or mobile applications, and the offered SaaS services.

Platform users: two types of users are distinguished:

  • Registered User (also the “Host” or “Property Manager”): the professional or property manager for short-term rentals who has signed an ad hoc agreement and creates an account on the Platform (providing first name, last name, email, and phone number) to use OhMyRoom’s Services.
  • Unregistered User (the “Guest”): a person who, without registering, accesses content shared by the Host through a link or QR code provided by the Host.

Services: the features and services offered through the OhMyRoom Platform, as defined in Art. 3 below.

Content: any information, text, image, data, or material uploaded to the Platform either by the Owner (e.g., templates of digital guides, software, graphics) or by the User (e.g., property descriptions, local tips, add-on offers).

These General Terms of Use and Service (hereinafter, the “General Terms” or the “Terms”) govern the contractual relationship between the Owner and the User regarding use of the Platform and the Services. Use of OhMyRoom implies full acceptance of these General Terms. If the User does not accept them, they must refrain from using the Platform and the Services.

2. Scope and acceptance of the Terms

These General Terms apply exclusively to the use of the OhMyRoom Platform and the related Services provided by the Owner to Users, as defined above. The User must comply with these General Terms as well as any further instructions, rules, or policies published on the Website (including, by way of example, the privacy notice and the notices available in the different sections of the Platform, which are considered an integral part of these General Terms).

Upon registration, the Registered User declares to have read and accepted these General Terms. In particular, the Registered User declares and warrants that they:

  • are of legal age (18 years) as required by law to validly use the Service. If it is found that the User is a minor, the Owner may refuse or cease to provide the Services and close the account, pursuant to Art. 2 of the Italian Civil Code;
  • have read the Privacy Notice regarding the processing of personal data provided, available on the Platform, and have given consent where required;
  • fully accept these General Terms;
  • confirm that all information provided during registration and use of the Platform (personal data, information on properties, uploaded content, etc.) is truthful, accurate, and complete, and undertake to promptly update it in case of changes;
  • will indemnify and hold the Owner harmless from any damage, loss, penalty, or claim arising from the User’s breach of the rules on registration to the Website, the truthfulness of the information provided, and the safekeeping of their access credentials.

Use of the Platform by the Host implies acceptance of the clauses of these General Terms applicable to the nature of their use. By accessing OhMyRoom’s content, the Guest also undertakes not to violate these General Terms and applicable laws.

Governing Law: These Terms are drafted in accordance with applicable Italian and European legislation on electronically supplied services, including Legislative Decree No. 70 of April 9, 2003 (implementation of the E-Commerce Directive), Legislative Decree No. 206 of September 6, 2005 (Consumer Code, to the extent applicable where the User acts as a consumer), and EU Regulation 2016/679 (GDPR) on personal data protection, as well as other applicable laws and regulations.

3. Description of the services offered by OhMyRoom

OhMyRoom is a SaaS platform aimed at Property Managers in the short-term rental sector, providing digital tools to enhance the guest experience. In particular, through the Platform, the Host (Registered User) can benefit from the following main Services:

  • Creation of personalized landing pages: the Host can create an interactive, customized landing page for each of their properties containing useful information for Guests.
  • Local tips and activities: the Host can include suggestions on activities, businesses, or local points of interest on the landing page.
  • Host affiliate program: OhMyRoom offers an affiliate system through which the Host can obtain benefits if they promote the registration of new users on the Platform.
  • Sale of Extra Services (upselling) to the Guest: the Host can offer paid extra services related to the stay to the Guest via the Platform.

4. Platform role and limitation of OhMyRoom’s role

OhMyRoom provides a technological service that virtually connects the Host and their Guest, as well as the Host and any third-party service provider (within affiliate programs or extra services offered). OhMyRoom is not a party to the relationships established between the Host and the Guest or between third-party providers and the Guest. In other words, the Owner exclusively provides the IT tool to facilitate communication and any transactions, but does not act as a real-estate agent, travel agent, tour operator, or as a party to contracts for the sale of travel services between the Host, the Guest, and third parties.

In particular, the Host and the Guest acknowledge and agree that:

  • Host–Guest relationship: all agreements relating to the stay or extra services sold by the Host to the Guest through the Platform constitute direct agreements between the Host and the Guest. OhMyRoom is not a party to such agreements and assumes no responsibility for their performance.
  • Relationships with third-party providers: likewise, if through the Platform the Guest is directed to a service or activity managed by a third party (e.g., a partner restaurant, a local tour operator, an affiliated car-rental service), any booking, purchase, or use of such services takes place exclusively between the Guest and the relevant third-party provider. OhMyRoom does not guarantee and is not responsible for the quality, safety, legality, accuracy, or actual provision of experiences or services provided by third parties recommended on the landing page.
  • No editorial control over Host Content: within the limits of ordinary diligence, the Owner does not intervene beforehand in the creation of content uploaded by the Host on the landing pages (such as descriptive texts, images, tips, offers). While it may provide guidelines or templates, OhMyRoom does not carry out prior approval or in-depth review of such content and is not responsible for its truthfulness, completeness, or legality. Responsibility for the content entered by the Host lies exclusively with the Host. However, OhMyRoom reserves the right to remove or hide content reported as illegal or contrary to these General Terms, in accordance with applicable law.

The OhMyRoom Platform allows the Host to propose, publish, and sell paid extra services to Guests offered by third-party providers through a dedicated section accessible from the personalized landing page. The Owner merely provides a technological platform to facilitate the presentation and promotion of such services. It does not carry out any commercial intermediation activity, nor does it verify the legality, regulatory compliance, quality, actual availability, or accuracy of the information provided regarding the services offered. It is therefore the sole responsibility of the Host and third-party providers to ensure they have the legal, tax, and administrative requirements necessary for providing and selling the extra services offered. The Owner disclaims any liability for damages, violations, disputes, claims, or penalties arising from offers that are not compliant with applicable regulations.

5. Host registration and account creation

Full access to the features of the OhMyRoom Platform is reserved for Registered Users (Hosts). To register, the User must complete the online registration form, providing at least the following mandatory data: business name, first name, last name, a valid email address, and a phone number. These contact details (email and phone) may be used by the Owner for important service communications related to use of the Platform (e.g., notifications about updates to the Terms, technical information, payment notices, etc.). Additional optional data may be requested to complete the profile or to access advanced features (e.g., business name and VAT number if the Host represents a company, postal address for invoicing, profile photo, etc.).

6. Host account features and use of the Platform

Once registered, the Host (Registered User) can access the OhMyRoom Platform and use the various available features. Through their account, the Host can, for example:

  • Profile and account data: save, modify, and manage their personal and contact details (e.g., email address, phone number) and, where applicable, company data (name, VAT number, billing address). The Host can also manage communication preferences (e.g., subscription or unsubscribe to the newsletter, consents for marketing and profiling) in compliance with privacy regulations.
  • Property and landing-page management: enter information about their properties (e.g., property name, address, description, photos) and generate a landing page for each.
  • Sharing with Guests: for each digital guide, the Platform provides a unique link and generates a personalized QR code.
  • Local tips and affiliations: the Host may add, in the “Tips” section of the digital guide, various activities or services offered by third-party providers deemed of interest to the Guest.
    E-commerce of Extra Services: if included in the subscribed plan, the Host may enable e-commerce mode to sell extra services offered by Third-Party Providers directly through the digital guide.

7. Guest access and conditions for unregistered users

The Guest (Unregistered User) accesses content on the OhMyRoom Platform via the landing-page link shared by a Host. Access usually occurs by scanning a QR Code or opening a web link provided by the Host, which directs the Guest to a page dedicated to the property where they are staying.

The Guest may freely consult the digital guide without creating a personal account on OhMyRoom. However, the Guest’s access to and use of the guide is subject to compliance with certain fundamental conditions:

  • The Guest may use the digital guide and its contents exclusively for personal purposes related to their stay with the Host who provided them. The Guest is not authorized to exploit the contents for commercial purposes, nor to reuse them outside this context.
  • The Guest must refrain from any improper or unlawful use of the Platform.
  • When the Guest interacts with any feature, additional terms and conditions may apply. OhMyRoom is not responsible for any additional conditions imposed by the Host or third-party providers, but recommends that the Guest read them carefully before accepting.
  • The Guest acknowledges and agrees that the contents displayed on the landing page (texts, images, tips, offers) are provided by the Host (or by third-party providers) and not by OhMyRoom. Although the Host endeavors to provide accurate and up-to-date information, OhMyRoom does not guarantee that such information is complete or error-free.
  • The Guest acknowledges and agrees that data provided for any purchase of extra services offered on the Platform by Third-Party Providers will be shared with them for the purposes of the purchased service (e.g., tax receipt).
  • Guest access does not entail any payment to OhMyRoom (use is free for the end user), nor the direct use of a commercial service by OhMyRoom by the Guest. The Guest therefore does not have the status of “consumer” vis-à-vis OhMyRoom, as there is no contract for the sale of services between the Guest and the Owner; the Guest’s rights as a consumer remain unaffected vis-à-vis the Host or any third-party providers for services purchased from them.

8. Fees, subscription plans, and payment methods

Currently, access to and use of the OhMyRoom Platform are offered to the Host on a paid basis under particular ad hoc conditions, but free of charge to the Guest.
The Owner reserves the right to introduce paid subscription plans for the Host directly on the Platform in the future.

9. Intellectual property rights

The Owner is the legitimate proprietor of the Website, the pages comprising it, and the information or elements contained in the texts, documents, photographs, drawings, graphics, databases, software, logos, trademarks, trade names, or other signs protected by intellectual or industrial property rights.

Unless expressly authorized by the Owner or by third parties holding the relevant rights, or unless permitted by law, the User may not reproduce, transform, modify, decompile, distribute, rent, make available to anyone, or allow access by any form of public communication to any of the elements mentioned in the preceding point.

10. User obligations and prohibited conduct

The User, whether Host or Guest, undertakes to use the OhMyRoom Platform and its Services lawfully, diligently, and in accordance with these General Terms. In particular, the User is prohibited from using OhMyRoom (the Website, the account, the digital guides, and any connected functionality) for unlawful purposes or for purposes other than those envisaged. By way of example only, the User must not:

Insert, share, disseminate, or publish:

  • content of a racist, xenophobic, obscene, or denigratory nature (e.g., listings that allude to the geographic origin or nationality of persons potentially interested in a property, or that include insults and/or profanity of any kind);
  • content that incites criminal, terrorist, violent, or defamatory behavior based on age, sex, religious belief, or any other type (e.g., listings that allude to preferences regarding sexual orientation, age, or religion of persons potentially interested in a property);
  • content that may be deemed detrimental to the fundamental rights of third parties, in any form;
  • information constituting unlawful or unfair advertising (e.g., listings containing fictitious prices or misleading or offensive comments about competitors);
  • false, inaccurate, or fraudulent content that could mislead recipients of such information (e.g., “bait” listings or listings containing misleading descriptions or false features relating to properties).

Further prohibitions:

  • Use the Website for unlawful purposes or for resale, transfer, or assignment for use or benefit of any other person or entity.
  • Damage the IT systems of the Website or of third parties, or introduce or disseminate computer viruses or other types of harmful software or systems that may cause damage to IT systems.
  • Commit acts that infringe our intellectual property rights and/or damage the reputation of the Website or third parties.
  • Use the identity and/or access passwords of a third-party Registered User without their consent.
  • Access, monitor, or copy any information included on the Website using any type of robot, spider, scraper, or other automatic or manual means for this purpose without our prior written consent.
  • Violate the restrictions disclosed by the robots-exclusion notices on this Website, as well as circumvent other measures used to limit access to this Website.
  • Take any action that imposes or may impose, in our judgment, an unreasonable or disproportionately large load on our infrastructure.
  • Link to any content on the Website for any purpose without our written consent.
  • Replicate, mirror, or otherwise incorporate any Website content into any other site without our prior written authorization.

11. Term, withdrawal, and account suspension

These General Terms are deemed accepted by the User at the time of use of the Platform (for the Guest) and at registration (for the Host) and remain valid and effective until termination of the relationship as provided in this article.

Term for the Host: The agreement between the Owner and the Host is for an indefinite period, it being understood that the use of specific Services is subject to the validity of the selected subscription, which in any case is governed by an ad hoc contract. The Host may withdraw from these General Terms at any time by requesting deletion of their account and ceasing to use the Platform. The account deletion request may be made through the appropriate functions in the reserved area (if available) or by contacting OhMyRoom support in writing. The Host’s withdrawal does not entitle them to any refund for unused subscription periods, except as may be provided in Art. 8 and except where the Host is a consumer exercising the right of withdrawal within the initial 14 days.

Suspension or termination by the Owner (Host): The Owner reserves the right to temporarily suspend the Host’s access to the Platform or to deactivate/close the Host’s account in the following cases:

  • Breach of the Terms: in the event of a serious or repeated breach by the Host of any obligation set out in these General Terms (see Art. 10 for prohibited behavior) or of legal provisions. Suspension/closure may take immediate effect, without notice, where the breach is such as to prevent continuation of the relationship even temporarily. In less serious cases, the Owner may send the Host a formal notice, setting a time limit to remedy the breach (if remediable) and warning of possible consequences.
  • Non-payment: in case of non-payment of the subscription fee due. If the Host persists in failing to pay the amounts due, the Owner may close the account for breach.
  • Prolonged inactivity: the Owner reserves the right to deactivate registered accounts that remain inactive for a long period (e.g., 12 consecutive months) and that have no active subscription, after prior email notice to the Host at the last known address. Upon receiving the notice, the Host may avoid closure by logging in or expressing the intention to keep the account active.
  • Order of an Authority or legal obligation: if a measure by a competent Authority (e.g., a court order) requires the Owner to deactivate an account or remove certain content, or where necessary to comply with legal obligations, the Owner may act accordingly. In such cases, the Host will be informed where possible, unless prohibited by law.
  • Service discontinuation: if Oh My Room s.r.l. decides to permanently discontinue the OhMyRoom Platform (service shutdown), it will give written notice to Hosts with reasonable advance notice, except in cases of force majeure preventing such notice.

12. Processing of personal data (Privacy) and cookies

By accessing the Website, we may process your personal data. You can obtain detailed information on the type and purposes of the processing of your data by consulting our Privacy Notice.

We also inform you that we may use “cookies” when you browse our web pages. You can obtain detailed information about our use of “cookies” by consulting our Cookie Policy.

The user expressly agrees that the Owner is free to read any message sent between Users. The Owner may read such messages to improve the User experience, resolve disputes between Users, or for other reasons deemed appropriate by the Owner.
